These Terms & Conditions ("Terms") govern your access to and use of PracticePad (the "Service"), operated by Jed Michael Reaux, doing business as PracticePad LLC (in formation), based in Louisiana, USA ("PracticePad," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
You are contracting with Jed Michael Reaux, doing business as PracticePad LLC (in formation). References to "PracticePad LLC" in these Terms refer to the same entity. You must have authority to bind your organization (if signing up on behalf of a team or school) and be of legal age to form a binding contract.
PracticePad is a mobile-first practice planning and live timer tool for coaches, including drag-and-drop planning, live practice mode, roster and attendance tracking, and parent/player messaging. Features may change over time.
You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.
You must not misuse the Service. In particular you must not:
The Service, including its software, design, branding, and documentation, is owned by PracticePad and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.
You retain ownership of the content you create in the Service (practice plans, rosters, messages, etc.). You grant us a limited license to host and process your content solely to provide the Service to you.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.
We work to keep the Service reliable, but we do not guarantee it will be uninterrupted, error-free, or free of security incidents. We may perform maintenance and change features from time to time.
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. You may export your data for a reasonable period before we delete it, after which it may be permanently removed.
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. Our aggregate liability to you is limited to the fees you paid to us (via Paddle) in the twelve (12) months before the claim. We are not liable for indirect, consequential, special, or incidental damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where prohibited by law.
You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict of laws. The state and federal courts located in Louisiana have exclusive jurisdiction over any disputes, subject to any mandatory consumer rights in your country of residence.
We may update these Terms from time to time. Material changes will be communicated in-app or by email. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
